End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Rental Flow Inc. ("Company", "we", "us") for the use of the Rental Flow software-as-a-service platform ("Service").

1. Grant of License

Subject to the terms of this Agreement, Rental Flow Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes related to equipment rental management.

2. Restrictions

You agree not to:

  • Copy, modify, or distribute the Service or any portion thereof
  • Reverse engineer, decompile, or disassemble the Service
  • Sublicense, sell, resell, or commercially exploit the Service
  • Use the Service for any unlawful purpose or in violation of any regulations
  • Interfere with or disrupt the integrity or performance of the Service

3. Ownership

The Service and all intellectual property rights therein are and shall remain the exclusive property of Rental Flow Inc. This Agreement does not grant you any rights to trademarks, service marks, or logos of Rental Flow Inc.

4. User Data

You retain ownership of all data you input into the Service ("User Data"). You grant Rental Flow Inc. a limited license to use User Data solely to provide and improve the Service. We will not sell your data to third parties.

5. Third-Party Integrations

The Service may integrate with third-party services including QuickBooks Online. Your use of such integrations is subject to the respective third-party terms of service. Rental Flow Inc. is not responsible for third-party services.

6. Disclaimer of Warranties

The Service is provided "as is" without warranty of any kind. Rental Flow Inc. expressly disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law, Rental Flow Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages.

8. Termination

This Agreement is effective until terminated. Rental Flow Inc. may terminate this Agreement immediately if you breach any term herein. Upon termination, you must cease all use of the Service.

9. Governing Law

This Agreement shall be governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles.
